CONTRIBUTORS STANDARD TERMS AND CONDITIONS

?1. DEFINITIONS AND INTERPRETATION?

1.1 The 鮮明度／定義s and 支配するs of 解釈／通訳 in this 条項 適用する in these 条件 and 条件s.

“ANL” means Associated Newspapers 限られた／立憲的な, 登録（する）d 演説（する）／住所, Northcliffe House, 2 Derry Street, London W8 5TT and 登録（する）d company number 84121;

“(v)提携させる(n)支部，加入者s” means in relation to a person, any direct or indirect parent 請け負うing or 子会社 請け負うing from time to time of such person, or any other direct or indirect 子会社 undertakings from time to time of any parent 請け負うing of such person. An 請け負うing is a “子会社 請け負うing” of another 請け負うing (its “parent 請け負うing”) if that other 請け負うing, 直接／まっすぐに or 間接に, through one or more 子会社 undertakings:

(a) 持つ／拘留するs 50% or more of the 投票（する）ing 権利s in the 請け負うing; or

(b) it is a member of the 請け負うing and has the 権利 to 任命する or 除去する 50% or more of its board of directors or 同等（の） managing 団体／死体; or

(c) it is a member of the 請け負うing and 支配（する）／統制するs alone, or pursuant to an 協定 with other 株主s or members, 50% or more of the 投票（する）ing 権利s in the 請け負うing; or

(d) has the 権利 to 演習 a 支配的な 影響（力） over it, for example by having the 権利 to give directions with 尊敬（する）・点 to its operating and 財政上の 政策s, with which directions its directors are 強いるd to 従う.

“Content” means any and all text, Im ages, ビデオs, Lineage, 音声部の or ビデオ 構成要素, recordings of moving images with or without sound, all stills, images, content, 構成要素s, （警察などへの）密告，告訴（状）, data, ソフトウェア and executable code, in whatever medium or form 供給（する）d or made 利用できる by or on に代わって of the 供給者 in 関係 with these 条件 and 条件s;

“料金s” means the 料金s that we have agreed to 支払う／賃金 the 供給者 尊敬（する）・点 of the licence of the Content as 始める，決める out in the self-生成するd Invoice;

“Images” means any photos, print graphics, interactive or 数字表示式の graphics or other still images;

“知識人 所有物／資産／財産 権利s” means all 知識人 所有物／資産／財産 権利s wherever in the world arising, whether 登録（する）d or unregistered (and 含むing any 使用／適用), 含むing copyright, know-how, confidential （警察などへの）密告，告訴（状）, 貿易（する） secrets, 商売／仕事 指名するs and domain 指名するs, 示すs, 特許s, petty 特許s, 公共事業（料金）／有用性 models, design 権利s, 半分-conductor topography 権利s, database 権利s and all 権利s in the nature of 不公平な 競争 権利s or 権利s to 告訴する for passing off;

“Lineage” means written content or text 構成要素 …を伴ってing the content 供給（する）d by 供給者;

“Licensed マスコミ” means:

(a) any and all 数字表示式の or electronic 出版（物）s through any マスコミ or 出口 and in any 判型 now known or hereafter developed, which shall 含む, but shall not be 限られた／立憲的な to, any internet-based service, 数字表示式の service, 動きやすい service, 製品, 壇・綱領・公約, 使用／適用 (apps), intranet, webpage or website, and which in each 事例／患者 is owned or operated by ANL or any of its (v)提携させる(n)支部，加入者s from time to time 含むing those which operates under the ‘Mail Online’, ‘Mail’, ‘the Daily Mail’, ‘Mail on Sunday’, ‘Mail 加える’, ‘Metro’ or ‘This is Money’ brands, or any derivative of such brands, 含むing, but not 限られた／立憲的な to the 出版（物）s owned or operated by ANL and which are 位置を示すd at www.metro.co.uk, www.mailonline.co.uk, Mailonline.co.uk/au, www.dailymail.co.uk, www.dailymail.com and www.thisismoney.co.uk and any その後の or 付加 URLs which may 取って代わる them from time to time;

(b) any and all print 出版（物）s through any マスコミ or 出口 and in any 判型 now known or hereafter developed which ANL operates 含むing those under the ‘Mail Online’, ‘Mail’, ‘the Daily Mail’, ‘Mail on Sunday’, ‘Mail 加える’, or ‘Metro’ brands, or any derivative of such brands;

(c) any of the above 出版（物）s’ pages or articles (含むing its 動きやすい 見解／翻訳／版s) on any social マスコミ accounts or news aggregator websites from time to time (含むing, but not 限られた／立憲的な to, Facebook, Twitter, Snapchat, Instagram, MSN, Apple i news and Yahoo; and

(d) any マスコミ player owned or operated by ANL or any of its (v)提携させる(n)支部，加入者s from time to time (with or without embedding functionality and whether 会社にする／組み込むd in the 出版（物）s 始める，決める out above or in any third party 場所／位置s, services, apps or 出版（物）s).

“示すs” means any and all 貿易（する） 示すs, 貿易（する） 指名するs, service 示すs, 貿易（する） dress, logos, URLs, identifying スローガンs or other 独特の brand features of a party to these 条件 and 条件s, whether or not 登録（する）d;

“供給者” means the （独立の）存在 始める，決める out in the self-生成するd Invoice; and

“ビデオ” means a 記録，記録的な／記録するing of moving images with or without sound 供給（する）d by 供給者.?

2. GRANT OF LICENCE

2.1 支配する to these 条件 and 条件s, the 供給者 hereby 認めるs to ANL and each of its (v)提携させる(n)支部，加入者s a 非，不，無-排除的 (unless さもなければ agreed), 王族-解放する／自由な, 世界的な, perpetual licence to use, 再生する, 分配する, 公然と 成し遂げる, 陳列する，発揮する, edit and 送信する／伝染させる the Content in 関係 with and through the Licensed マスコミ and to make the same 利用できる to end 使用者s of the Licensed マスコミ.

2.2 The 供給者, by 認めるing the licence 詳細（に述べる）d in 条項 2.1, also 認めるs ANL the 表明する 権利 to ANL and each of its (v)提携させる(n)支部，加入者s to 認める a sub-licence to end 使用者s and readers of Licensed マスコミ to the extent necessary for end 使用者s and readers to 見解（をとる）

and use the Content in 一致 with the Licensed マスコミ’s 条件 of use from time to time.

2.3 The 供給者 agrees that ANL shall be する権利を与えるd to change, 修正する and edit the Content for technical or 編集（者）の 目的s (含むing, without 制限, cropping or でっちあげる，人を罪に陥れるing the Content).

2.4 ANL shall be する権利を与えるd to 再生する the whole or any part of any Content in any 第２位 reproductions of Licensed マスコミ (e.g. 編集s, 審査する 発射s, stills, thumbnails) ーするために 促進する or market the Content through any マスコミ or 出口 and in any 判型 now known or hereafter developed, 含むing any and all print, 数字表示式の and electronic 出版（物）s.

2.5 If the Content 含むs ビデオs, ANL shall be する権利を与えるd to embed, and enable, 容易にする and support the embedding and 有機の 株ing of Content by any end 使用者 of, all or any part of the Content through any マスコミ or 出口 and in any 判型 now known or hereafter developed, 含むing without 制限, on any internet-based service, 数字表示式の service, 動きやすい service, 製品, 壇・綱領・公約, 使用／適用 (apps), intranet, webpage or website. ANL shall be する権利を与えるd to manage, 支配（する）／統制する and change the embedding functionality and settings of any of its マスコミ players from time to time as ANL shall det ermine in its 単独の discretion.

2.6 ANL agrees that it shall 含む the credit 示すd on the Images and ビデオs or 通知するd by the 供給者 on any use or reproduction of the Images and ビデオs.

2.7 Any inadvertent 失敗 by ANL to （許可，名誉などを）与える the credit shall not 構成する a 違反 of these 条件 and 条件s by ANL 供給するd that ANL uses its reasonable endeavours to 治療（薬） such 失敗 that the 供給者 makes ANL aware of, as soon as reasonably practicable and on a 見込みのある basis only. For the avoidance of 疑問, ANL will not be 要求するd to 解任する any print or other 構成要素 already printed nor 背負い込む 合法的な costs or expenses.

2.8 The 供給者 hereby waives all moral 権利s in the Content to which the 供給者 may be する権利を与えるd under the Copyright, Designs and 特許s 行為／法令／行動する 1988 (UK) or the Copyright 行為／法令／行動する 1968 (Australia) as 修正するd from time to time (and under all 類似の 法律制定 from time to time in 軍隊 anywhere in the world) to the extent necessary for ANL to 偉業／利用する the Content in the Licensed マスコミ.

2.9 The 供給者 hereby 認めるs and agrees that the Content may be copied or 再生するd under separate licences or 手はず／準備 with NLA マスコミ 接近 and all other such database aggregators and services. As such, the 供給者 hereby 認めるs to ANL all such licences and 権利s as are 要求するd ーするために enable others to 接近, copy and 再生する all or part of the Licensed マスコミ (whether 経由で 圧力（をかける） cuttings or 類似の services) pursuant to those licences or 手はず／準備, 含むing the 非，不，無-排除的 権利 to 企業連合（する） (含むing electronic syndication or syndication for use in electronic databases) or 分配する the Licensed マスコミ (含む／封じ込めるing the Content) to NLA マスコミ 接近 and all other owners of such databases, databanks and services for 貯蔵, copying, republication and 議席数是正 to third parties for その上の 貯蔵, copying, 出版（物） and 配当 in any medium.

2.10 ANL will have the 非，不，無-排除的 権利 to 蓄える／店 the Content (whether or not the Content has been published by ANL) in any of its electronic databases and to 許す 接近 to the databases for 研究 目的s.

3. MARKS

3.1 The 供給者 認めるs and agrees that ANL owns all 権利, 肩書を与える and 利益／興味 in and to the Licensed マスコミ and ANL’s 示すs. Nothing in these 条件 and 条件s shall 会談する in the 供給者 any 権利 of 所有権 in the Licensed マスコミ or ANL’s 示すs.

3.2 供給者 hereby 認めるs to ANL a 非，不，無-排除的, 世界的な, 王族 解放する／自由な licence to use, 再生する, 陳列する，発揮する and 送信する／伝染させる the 供給者’s 示すs 単独で for the 目的s of 成し遂げるing its 義務s under these 条件 and 条件s, 含むing in 関係 with the 贈呈 of the Content within the Licensed マスコミ.?

4. FEES AND PAYMENT?

4.1 In consideration of the 準備／条項 of the Content by the 供給者, ANL shall 支払う／賃金 the 料金s which shall be all inclusive for the 権利s 認めるd above (含むing syndication).

4.2 ANL will send 供給者 a self-生成するd invoice (“Invoice”) 反映するing the uses along with the 支払い（額） of the 料金, no more than forty-five (45) days after the use. If the 供給者 believes ANL has used Content that is not 反映するd in an Invoice, or for which 支払い（額） was not made within forty-five (45) days after the use, the 供給者 will 敏速に 通知する ANL:

(a) 経由で mailonlinecontributionqueries@dmgmedia.co.uk if the use relates to ANL’s online 数字表示式の 出版（物） and 供給する links to the URL(s) or ざっと目を通すs of the pages where it believes its images have been used without 支払い（額）; or

Each of (a) and (b) a (“Notification”). If ANL 受託するs that Content has been used without timely 支払い（額） of the 料金, it will 支払う／賃金 the 料金 within fifteen (15) 商売／仕事 days of ANL’s 領収書 of the Notification.

4.3 支払い（額） shall be made direct to the bank account 指名するd in 令状ing by the 供給者.

4.4 If a party fails to make any 支払い（額） 予定 to the other under these 条件 and 条件s by the 予定 date for 支払い（額） (予定 date), then, without 限界ing the other party's 治療（薬）s under these 条件 and 条件s, the defaulting party may be 要求するd to 支払う／賃金 利益／興味 on the 延滞の 量 at the 率 of 2% per 年 above the Bank of England base 率 from time to time. Such 利益／興味 shall accrue on a daily basis from the 予定 date until the date of actual 支払い（額） of the 延滞の 量, whether before or after judgment. The defaulting party shall 支払う／賃金 the 利益／興味 together

with the 延滞の 量. This 条項 shall not 適用する to 支払い（額）s that the 非，不，無-支払う／賃金ing party 論争s in good 約束.

4.5 If ANL 論争s any invoice or other 声明 of monies 予定, ANL shall すぐに 通知する the 供給者 in 令状ing.

4.6 ANL may, without 限界ing any other 権利s or 治療（薬）s it may have, 始める，決める off any 量s 借りがあるd to it by the 供給者 against any 量s payable by it to the 供給者.

4.7 All 料金s are 排除的 of 付加価値税 or GST, as applicable.?

5. WARRANTIES AND INDEMNITIES?

5.1 Each party to these 条件 and 条件s 代表するs and 令状s to the other party that:

(a) it has the 十分な 法人組織の／企業の 権利, 力／強力にする and 当局 to enter into these 条件 and 条件s and to 成し遂げる its 義務s hereunder;

(b) the 死刑執行 of these 条件 and 条件s by such party, and the 業績／成果 by such party of its 義務s and 義務s hereunder, do not and will not 侵害する／違反する any 協定 to which such party is a party or by which it is さもなければ bound;

(c) it shall 従う with all applicable 法律s and 規則s in relation to the 業績／成果 by it of its 義務s under these 条件 and 条件s 含むing but not 限られた／立憲的な to all applicable 法律s and 規則s 関心ing 贈収賄 and 汚職; and

(d) when 遂行する／発効させるd and 配達するd by such party, these 条件 and 条件s will 構成する 合法的な, valid and binding 義務s of such party, 実施できる against such party in 一致 with its 条件.

5.2 The 供給者 代表するs and 令状s to ANL that:

(a) it has 十分な 権利s in the Content to 認める to ANL the 権利 to use and disseminate such Content in 一致 with the 条件 of these 条件 and 条件s;

(b) it has 安全な・保証するd all third party 許可s and 解放（する）s necessary to 認める to ANL the 権利 to use and disseminate such Content in 一致 with the 条件 of these 条件 and 条件s;

(c) it will take all reasonable 警戒s in 一致 with 一般に recognised 産業 基準s not to 供給する Content that 含む／封じ込めるs any 事柄 which is defamatory, libellous, unlawfully 脅すing or unlawfully 悩ますing, 原因（となる）s 傷害, 侵略するs privacy 権利s, or is さもなければ actionable in any 裁判権 where the Content and/or the Licensed マスコミ are directed;

(d) the Conten t:

(i) does not （規則などを）破る／侵害する any third party's 知識人 所有物／資産／財産 権利s;

(ii) is created, 収集するd and published using reasonable care and 技術 and do not 侵害する／違反する any 法律, 法令, 法令／条例, 支配する, 法廷，裁判所 order, code of practice or 規則 (whether on a regulatory or statutory basis) or 一般に recognised 産業 基準s, in each 事例／患者 in any 裁判権 where the Content and/or the Licensed マスコミ are directed, 含むing but not 限られた／立憲的な to the Editors’ Code of Practice 問題／発行するd by the Editors’ Code of Practice 委員会 in the UK, and where 関連した the 声明 of General 原則s 問題／発行するd by the Australian 圧力（をかける） 会議 from time to time; and

(iii) does not 含む／封じ込める any ウイルスs, Trojan horses, worms, 時限爆弾s, 取り消す bots or other computer programming 決まりきった仕事s that are ーするつもりであるd to 損失, detrimentally 干渉する with, surreptitiously 迎撃する or 没収する any system, data or personal （警察などへの）密告，告訴（状）;

(e) the only costs to be borne by ANL in 尊敬（する）・点 of the use of the Content in the manner 想像するd by these 条件 and 条件s are the 料金s and (with the exception of the 料金s) it shall be 責任がある all 支払い（額）s, 料金s, 王族s, 告発（する），告訴（する）／料金s or さもなければ 予定 to all and any third parties arising out of the same; and

(f) the 供給者’s 示すs do not （規則などを）破る／侵害する any third party's 知識人 所有物／資産／財産 権利s or other 権利s of any third party.

5.3 The 供給者 shall indemnify and 持つ／拘留する 害のない and keep ANL (and each of its 従業員s, directors and スパイ／執行官s) fully and 効果的に indemnified from and against any and all losses, 需要・要求するs, （人命などを）奪う，主張するs, 損害賠償金, costs, expenses (含むing consequential losses and loss of 利益（をあげる）, 合法的な costs and expenses and 付加価値税 or GST thereon) and 義務／負債s 苦しむd or incurred, 直接／まっすぐに or 間接に by ANL as a result of any 違反 by the 供給者 of the warranties 始める，決める out in 条項s 5.1 and 5.2.

5.4 Should any 合法的な 訴訟／進行s against ANL follow from the 出版（物） of any Content, then ANL or any other (v)提携させる(n)支部，加入者 shall be する権利を与えるd, in its 絶対の discretion (but shall be under no 義務), to take such 活動／戦闘 as it shall みなす fit, 含むing without 制限, settling or defending such （人命などを）奪う，主張する. The 供給者 shall make itself 利用できる to 補助装置 ANL in every reasonable way possible and hereby 認めるs and agrees that it shall have no （人命などを）奪う，主張する against ANL in any way relating to ANL's 行為／行う of any such （人命などを）奪う，主張する where ANL has used the Content in 一致 with the 条件 of these 条件 and 条件s.

6. LIMITATION OF REMEDIES AND LIABILITY??

6.1 Nothing in this 条項 6 shall 限界 a party’s 義務／負債 for death or personal 傷害.

6.2 The 義務／負債 of the 供給者 shall not be 限られた／立憲的な in 尊敬（する）・点 of a （人命などを）奪う，主張する by ANL under 条項 5.3.

6.3 支配する to 条項s 6.1 and 6.2, the 義務／負債 of ANL to 供給者 in 契約, tort, 怠慢，過失, pre-契約 or other 代表s or さもなければ arising out of or in 関係 with these 条件 and 条件s or the 業績／成果 or observance of its 義務s under these 条件 and 条件s shall be 限られた／立憲的な in aggregate to the aggregate 料金s paid by ANL to the 供給者 in the six months すぐに 先行する the incurring of such loss or 損失.

6.4 ANL shall not be liable in 契約, tort (含むing 怠慢，過失), pre-契約 or other 代表s (other than fraudulent misrepresentations) or さもなければ arising out of or in 関係 with these 条件 and 条件s for:

(a) any 経済的な losses (含むing, without 制限, loss of 歳入s, 利益（をあげる）s, 契約s, 商売／仕事 or 心配するd 貯金); and

(b) any loss of 好意／親善 or 評判; or

(c) any special, indirect or consequential losses, in any 事例／患者, whether or not such losses were within the contemplation of the 供給者 at the date of these 条件 and 条件s, or were 苦しむd or incurred by that party arising out of or in 関係 with the 準備／条項s of these 条件 and 条件s or any 事柄 arising under these 条件 and 条件s.

The に引き続いて 条項 6.5 does not 適用する to, and shall have no 影響 in, Australia:

6.5 Except as 始める，決める out in these 条件 and 条件s, ANL 除外するs all 条件s, 条件, 代表s (other than fraudulent or negligent 代表s) and warranties relating to the 支配する 事柄 hereof, whether 課すd by 法令 or by 操作／手術 of 法律 or さもなければ, that are not expressly 明言する／公表するd herein, 含むing without 制限, the 暗示するd warranties of 満足な 質 and fitness for a particular 目的.

The に引き続いて 条項 6.6 適用するs to, and has 影響 in, Australia only:

6.6 Except as 始める，決める out in these 条件 and 条件s and to the extent permitted by 法律, ANL 除外するs all 条件s, 条件, 代表s (other than fraudulent or negligent 代表s) and warranties relating to the 支配する 事柄 hereto. To the extent that ANL’s 義務／負債 for 違反 of an 暗示するd warranty or 条件 cannot be 除外するd by 法律, ANL’s 義務／負債 will be 限られた／立憲的な, at ANL’s 選挙, to the 再供給する of the services or the 支払い（額） of the costs of the 再供給する of the services.

6.7 Each 準備／条項 of this 条項 6 除外するing or 限界ing 義務／負債 shall be construed 分かれて, 適用するing and 生き残るing even if for any 推論する／理由 one or other of these 準備／条項s is held inapplicable or unenforceable in any circumstances and shall remain in 軍隊 notwithstanding the expiry or termination of these 条件 and 条件s.

6.8 Notwithstanding anything to the contrary co ntained in these 条件 and 条件s, if ANL believes that any Content may create 義務／負債 for ANL, ANL may 除去する such Content from the Licensed マスコミ as ANL believes, in its 単独の discretion, is 慎重な or necessary to minimise or 除去する ANL’s 可能性のある 義務／負債.

7. POST- TERMINATION RETENTION OF CONTENT

7.1 ANL’s 権利 to use the Content as 熟視する／熟考するd hereunder is perpetual and shall 生き残る the termination of these 条件 and 条件s.

7.2 On expiry or termination of these 条件 and 条件s for any 推論する／理由, all 準備／条項s of these 条件 and 条件s shall 中止する to have 影響, except that any 準備／条項 which can reasonably be inferred as continuing, 含むing, but not 限られた／立憲的な to,

the perpetual 権利s and licences 認めるd under 条項 2.1, shall continue in 十分な 軍隊 and 影響.

7.3 For the avoidance of 疑問, neither the termination (for any 推論する／理由) nor 満期 of these 条件 and 条件s shall 要求する ANL to 削除する or destroy copies of, or 除去する from 伝達／伝染 or 陳列する，発揮する, all or part of any Licensed マスコミ 含む／封じ込めるing Content in 一致 with the 条件 of these 条件 and 条件s.

8. GENERAL??

8.1 Any notice 要求するd to be given under these 条件 and 条件s shall be in 令状ing and shall only be みなすd to have been duly served if 手渡す 配達するd or sent by first class 記録，記録的な／記録するd 配達／演説／出産 within the 部隊d Kingdom and outside the 部隊d Kingdom by 登録（する）d airmail and to the party’s 登録（する）d 演説（する）／住所 and in the 事例／患者 of ANL to Northcliffe House, 2 Derry Street, London, W8 5TT with a copy to 契約s@assocnews.co.uk

8.2 Any notice pursuant to 条項 8.1 shall be みなすd to have been served:

(a) if 手渡す 配達するd, at the time of 配達／演説／出産;

(b) if sent by 地位，任命する, two days after 地位，任命するing; and

(c) if sent by airmail, seven days after 地位，任命するing.

8.3 供給者 shall not be する権利を与えるd to 割り当てる the 利益 and/or 重荷（を負わせる） of these 条件 and 条件s in whole or in part without the ANL’s 事前の written 同意.

8.4 Unless a 調印するd and 時代遅れの 協定 存在するs between the parties, these 条件 and 条件s 含む／封じ込める the entire 協定 between the parties relating to the 支配する 事柄 covered and supersede any previous 協定s, 手はず／準備, written or oral, between the parties in relation to such 事柄s.

8.5 The parties 認める that no 基準 条件 and 条件s sent to the 供給者 by A&N マスコミ 財政／金融 Services 限られた／立憲的な (A&N) shall 適用する to these 条件 and 条件s. 類似して, no 条件 or 条件s 是認するd upon, 配達するd with or 含む／封じ込めるd in the 供給者's quotation, 承認 or 受託 of order, specification, invoice or 類似の 文書 shall 施行される in relation to the licence of Content under these 条件 and 条件s and the 供給者 waives any 権利 which it さもなければ might have to rely on such 条件 and 条件s.

8.6 The parties 認める that ANL enters into these 条件 and 条件s for the 利益 of itself and each of its (v)提携させる(n)支部，加入者s. Any (v)提携させる(n)支部，加入者 from time to time may for its own 利益 施行する in its own 権利 any 称する，呼ぶ／期間／用語 of these 条件 and 条件s 支配する to and in 一致 with the 準備／条項s of the 契約s (権利s of Third Parties) 行為／法令／行動する 1999. Notwithstanding the foregoing, the 条件 of these 条件 and 条件s may be 変化させるd, 修正するd or 修正するd or these 条件 and 条件s may be 一時停止するd, cancelled or 終結させるd by 協定 in 令状ing between the parties or may be 無効にするd, in each 事例／患者 wit hout the 同意 of any such (v)提携させる(n)支部，加入者. Except as 供給するd in this 条項 8.6, a person who is not a party to these 条件 and 条件s has no 権利 under the 契約s (権利s of Third Parties) 行為／法令／行動する 1999 to 施行する any 条件 of

these 条件 and 条件s but this 条項 8.6 does not 影響する／感情 a 権利 or 治療（薬） of a third party which 存在するs or is 利用できる apart from that 行為／法令／行動する.

8.7 If any 準備／条項 (or part of a 準備／条項) of these 条件 and 条件s is 設立する by any 法廷，裁判所 or 行政の 団体／死体 of competent 裁判権 to be 無効の, unenforceable or 違法な, the other 準備／条項s shall remain in 軍隊.

8.8 If any 無効の, unenforceable or 違法な 準備／条項 would be valid, 実施できる or 合法的な if some part of it were 削除するd, the 準備／条項 shall 適用する with whatever modification is necessary to give 影響 to the 商業の 意向 of the parties.

8.9 Each party shall do, 調印する, 遂行する／発効させる and 配達する all 行為s, 文書s, 器具s and 行為／法令／行動するs reasonably 要求するd of it by notice from the other party to carry out and give 十分な 影響 to these 条件 and 条件s and the 権利s and 義務s of the parties under it.

8.10 Nothing in these 条件 and 条件s shall be construed as creating a 共同 or 共同の 投機・賭ける of any 肉親，親類d between the parties or as 構成するing either party as the スパイ／執行官 of the other party for any 目的 どれでも and neither party shall have the 当局 or 力／強力にする to 貯蔵所d the other party or to 契約 in the 指名する of or create a 義務／負債 against the other party in any way or for any 目的.

8.11 These 条件 and 条件s and any 論争s or （人命などを）奪う，主張するs arising out of or in 関係 with it or its 支配する 事柄 or 形式 (含むing 非，不，無-contractual 論争s or （人命などを）奪う，主張するs) are 治める／統治するd by and construed in 一致 with the 法律 of England.

8.12 The parties irrevoca bly agree that the 法廷，裁判所s of England have 排除的 裁判権 to settle any 論争 or （人命などを）奪う，主張する that arises out of or in 関係 with these 条件 and 条件s or its 支配する 事柄 or 形式 (含むing 非，不，無-contractual 論争s or （人命などを）奪う，主張するs).

The に引き続いて 条項 8.13 shall have 適用する to, and have 影響, in, Australia only:

8.13 The parties irrevocably agree that the 法廷，裁判所s of England have 非，不，無-排除的 裁判権 to settle any 論争 or （人命などを）奪う，主張する that arises out of or in 関係 with these 条件 and 条件s or its 支配する 事柄 or 形式 (含むing 非，不，無-contractual 論争s or （人命などを）奪う，主張するs).
